This paper deals with the cooperative’s governance and the economic regime.
In terms of governance, the authors argue for the renewal of the models of management and supervision of the cooperative, for the admission, in a restricted way, of the plural voting and of investor members, and for some changes on the
liability for managing and supervising the cooperative. As for the cooperative financial structure, the authors propose a new systematization of matters, the construction of new regulatory solutions for the minimum share capital and the
reserves, as well as the clarification of the cooperative and cooperator liability, of the implementation and increase of share capital, of the transfer of cooperative shares and of the distribution of revenues.
